1.a From July 1, 2008 through December 31, 2008, ItsYourNet will conduct an on-line Contest allowing eligible individuals to enter to win the prize set forth below.

1.b Only one entry per person and/or per E-mail address will be accepted for the duration of the Contest, except in Bonus entries as set forth in Article 3 below.

1.c False or deceptive entries or acts will render the Entrant ineligible.

1.d All entries become the property of ItsYourNet, LLC and will not be returned.

1.e Deadline to enter is 11:59 P.M. (North American Central time), December 31, 2008.

1.f ITSYOURNET RESERVES THE RIGHT TO MODIFY SCHEDULING OF THE CONTEST WITHOUT PRIOR NOTICE. ITSYOURNET RESERVES THE RIGHT TO TERMINATE OR SUSPEND THE CONTEST WITHOUT NOTICE, AT ANY TIME AND FOR ANY REASON.

2.a You are eligible to enter the Contest if you:

(i) ARE A CITIZEN OR LEGAL RESIDENT OF THE UNITED STATES, CANADA, OR PUERTO RICO (EXCLUDING ALASKA, QUEBEC OR WHERE PROHIBITED BY LAW) AT ALL TIMES DURING THE CONTEST;

(ii) ARE 18 YEARS OLD OR OLDER AT TIME OF ENTRY;

(iii) ARE NOT AN EMPLOYEE, AGENT, BUSINESS ASSOCIATE, OFFICER, OR DIRECTOR OF ITSYOURNET, LLC, OR OF ANY ADVERTISER, PROMOTION OR FULFILLMENT AGENCY, OR AGENT OF ITSYOURNET, LLC;

(iv) ARE NOT A RELATIVE OF AN EMPLOYEE, AGENT, BUSINESS ASSOCIATE, OFFICER, OR DIRECTOR OF ANY THIRD PARTY SPONSOR OR OF ANY ADVERTISER, PROMOTION OR FULFILLMENT AGENCY OR AGENT OF A THIRD PARTY SPONSOR;

(v) ARE ABLE TO CONNECT, OR, ARE RESIDING IN A RESIDENCE THAT WE OFFER DIAL-UP SERVICE, TO ONE OF OUR DIAL-UP ACCESS NUMBERS LOCATED THROUGHOUT NORTH AMERICA; AND,

(vi) ARE HUMAN.

2.b ANY USE OF ELECTRONIC DEVICES TO ENHANCE AND/OR ALTER YOUR ODDS OF WINNING WILL AUTOMATICALLY DISQUALIFY YOU. VOID WHEREVER PROHIBITED BY LAW. CONTEST IS SUBJECT TO ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS.

2.c ItsYourNet may require winners to provide proof that they are the Authorized Accountholders of the E-mail addresses used to enter the Contest. "Authorized Accountholder" is defined as the natural person who is assigned to an E-mail address by an ISP ("Internet Service Provider"), on-line service provider, organization (e.g., business, educational institution, etc.), or a privately registered domain that is responsible for assigning E-mail addresses for the domain associated with the E-mail address.

2.d Any winner who does not comply with the Official Rules will be disqualified. Return of any prize or prize notification as "undeliverable" will result in disqualification and an alternate winner may be selected. Ineligible entrants may be disqualified at any time at the sole discretion of ItsYourNet.

3.a BY ENTERING THE CONTEST, PARTICIPANTS UNCONDITIONALLY AGREE TO ACCEPT AND BE BOUND BY ALL TERMS OF THESE OFFICIAL RULES, THE DECISIONS OF ITSYOURNET, LLC, THE AGREEMENT AND TERMS OF USE, AND POLICIES OF OUR SERVICE.

3.b To enter the contest:

(i) Individuals may submit their information as required, including their E-mail address, via the "Connect For Life*" Web page served by ItsYourNet, and;

(ii) confirm their entry by clicking on the contest link in the confirmation E-mail delivered to their E-mail address.

3.c By entering the Contest, you agree to receive, from time to time, the Contest Update E-mail Newsletter and the Contest Deals E-mail Newsletter (together, the "Newsletters"), each of which may include ItsYourNet's products and services, on-line opportunities to join and/or participate in, products, services and/or programs that we offer, and from time to time, other promotional events, products and/or services supplied by a third party we may introduce you to in our Newsletters or on our Web site(s).

3.d Provided you were to take advantage of a marketed product, service, and/or opportunity offered by a third party, you agree that ItsYourNet may share your registration information with the respective third party if we control the form on which you supply your personal identifiable information for a respective third party. Any of your dealings directly with a third party or participation in promotions offered by such third party, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the third-party. ItsYourNet shall not and will not be responsible or liable for any part of your dealings with or participation in such third party promotions.

3.e Additionally, if you enter the Contest via a "ISP For Life*" banner, or other media, you will receive a Contest confirmation E-mail that includes a confirmation link. To complete your Contest entry and confirm your agreement to receive the Newsletters, you must click on the Contest confirmation link. After confirming your entry, you may, at any time, opt-out of receiving the Newsletters by following the opt-out instructions contained in the Newsletters you receive.

3.f From time to time throughout the term of the Contest, we may offer additional Bonus entries to Contest participants.

3.g How to receive Bonus entries:

(i) Individuals who continue receiving the Newsletters can redeem Bonus entries by clicking on the Bonus entry link contained in the relevant Newsletter.

(ii) Only one (1) Bonus entry per person and/or per E-mail address will be accepted per day for the duration of the Contest. NO PARTICIPANT CAN RECEIVE MORE THAN ONE (1) BONUS ENTRY PER DAY DURING THE TERM OF THE CONTEST.

4.a Contest winner will be randomly chosen by a "representative" of ItsYourNet, LLC (the "Judge") on or about July 15, 2008 from all eligible entries received during the dates specified above. The decisions of the Judge will be final and binding.

4.b The odds of winning will depend on the total number of eligible entries received. The winner will be notified by E-mail and/or telephone within two (2) days of the drawing and must meet all eligibility requirements including the execution and return of all necessary releases.

4.c Individuals who wish to enter the Contest may validate their ability to connect with our service toll-free by locating a dial-up access number for their area through our Web page located at http://www.itsyournet.com/public__contest_isp.php. If the closest Dial-up Access Numbers have a long-distance calling charge to access them, the Participant will be solely responsible for any such long-distance charges when connecting to our Dial-up Access Numbers in the event they are selected as the Grand Prize winner.

5.a There will be one (1) Grand Prize for the Contest, consisting of an ItsYourNet Dial-up Internet connection password and Dial-up access number, located as close as possible to the Grand Prize winner's home address, and three (3) ItsYourNet E-mail address accounts, awarded to one (1) Contest participant.

5.b The Grand Prize winner will be chosen randomly from among all valid entries received during the term of the Contest. The Grand Prize will be awarded to the Grand Prize winner's home address. In the event ItsYourNet is unable to deliver the Grand Prize directly to Grand Prize winner's home address due to dial-up access number restrictions, or other circumstances beyond the control of ItsYourNet, or if the described Grand Prize is otherwise unavailable for any reason whatsoever, ItsYourNet reserves the right to substitute a prize of like value.

5.c The approximate market value of the Grand Prize per year is US$119.40 (US$2,388.00 total by the Life* of the prize) and ItsYourNet, at its sole discretion, may substitute the Grand Prize with an annual payment of One Hundred-Nineteen dollars and forty cents in United States funds (US$119.40) at the end of each consecutive year from the day the Grand Prize is awarded, or, from the day the Grand Prize winner is provided with the required password access to connect to the Internet with the Grand Prize, paid to the Grand Prize winner by ItsYourNet's company check.

5.d The winner is not entitled to any alternative prizes and the prize is nontransferable. The Grand Prize winner is responsible for reporting and payment of all taxes (including federal, state, provincial and local, if any) on account of the prize, and for any fees or telephone line long-distance charges to connect to the Internet with the prize.

6.a Winner may be required to sign affidavits of eligibility or provide photocopies of government issued documents (i.e. State or Provincial Drivers License, Certificate of Birth, etc.) to prove residency and age, liability releases and, except where prohibited by law, publicity releases and return within seven (7) days of issuance of notification.

6.b In the event that; (i) such affidavits and releases are not signed; (ii) any prize or prize notification is returned as undeliverable; or (iii) the winner declines or fails to properly claim his or her prize within seven (7) days of notification then that winner will be disqualified and an alternate winner may be selected by random drawing at ItsYourNet's sole discretion.

6.c ItsYourNet expressly disclaims any responsibility and each participant hereby agrees to release and to hold ItsYourNet (and its respective employees, officers, directors, shareholders, parent companies, agents, marketing partners and affiliates) harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Contest or resulting from the delivery, acceptance and/or subsequent use or misuse of any prize awarded, including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy.

6.d Sponsor and it's parents, subsidiaries, franchisees, participating vendors, distributors, marketing partners and affiliated entities are not responsible for; (i) any condition caused by events beyond the control of Sponsor that may cause Contest to be disrupted or corrupted; (ii) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, use, or misuse of a prize, or from participation in Contest; or (iii) any printing or typographical errors in any materials associated with the Contest.

6.e Any Entrant/entry that fails to provide all required information will be disqualified. Sponsor is not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (ii) telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, delays or difficulties; (iii) errors in transmission; or (iv) prize deliveries attempted but not received.

6.f All entries must be submitted in the name of an individual person and the Grand Prize can only be awarded to the person whose name is on the winning entry. No mechanical reproductions or facsimiles of entries accepted. Participants may not enter using multiple E-mail addresses or as multiple participants. Any participant who attempts to or does enter with multiple E-mail addresses or under multiple identities, or uses any other device to enter multiple times, other than as permitted under Article 3 above regarding Bonus entries, will be disqualified.

6.g Only one (1) individual per residential address may enter. Multiple entries from more than one (1) individual per residential address will disqualify all individuals and entries for that residential address. Entrant can not enter with a Post Office Box Number or any address that is outside of the physical residence where a dialup connection would be able to be established. Businesses, companies, or other entities deemed to be of a commercial nature (registered or not, or that are a doing business as, or under a DBA) are not eligible.

6.h ItsYourNet reserves the right, in it's sole discretion, to cancel or suspend the Contest should, including, but not limited to, computer virus, bugs, unauthorized human intervention, acts of nature, fire, flood, or other causes beyond the control of ItsYourNet, in it's sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Contest or for any other reason at the sole discretion of ItsYourNet. In the event of cancellation, ItsYourNet may, in it's sole discretion, elect to award the Grand Prize to a winner randomly drawn from among all participants who had validly entered the Contest at the time of such cancellation.

8.a All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and ItsYourNet, shall be governed by, and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions (whether of Texas, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Texas. All claims relating to the Contest must be brought in the federal or state courts located in Parker County, Texas, which shall have exclusive jurisdiction and venue over such claims. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
